Organic Content License
What a university may do with approved content on its own channels, and what it may not.
Draft, awaiting attorney review
This document is a working draft published so you can see how Campus Voices works. It has not been reviewed by our attorney yet and may change. Items in [brackets] are still to be filled in.
Used as Exhibit A to the University Master Services Agreement, and mirrored in the Creator Agreement
Plain-English summary. When a student's post is approved, published and verified, the student has been paid for it, and the University has paid the invoice covering it, the University gets a permanent, non-exclusive right to reuse that video on channels the University itself owns and runs: its social accounts (including department, college, admissions and athletics accounts), its websites, its email newsletters, digital screens on campus and presentations at University events. The University can crop, trim, caption, subtitle, add its branding or licensed music, and combine clips, but cannot change what the student said or meant, fake their face or voice, or put the video in paid ads. The student keeps ownership of the video and their account. The right survives the student deleting the original, graduating or leaving, and survives the University ending its contract with Campus Voices. When the University reposts, its credit must say the student was paid. If a student has a serious safety reason, the University will try to take the video down from active channels within 10 business days as a courtesy.
1. Where this text is used
1.1 This license text is incorporated as Exhibit A to the Master Services Agreement between TTplus10 Inc., doing business as Campus Voices ("Campus Voices"), and the University (the "MSA").
1.2 The same grant, scope and limits are mirrored in the Creator Agreement (02-creator-agreement.md), where the Creator grants them to the University (through Campus Voices). If the Creator Agreement and this Exhibit differ on scope, the narrower scope applies, and Campus Voices will correct the documents.
2. Definitions
2.1 "Asset" means one item of Approved Content (as defined in the MSA) identified by its asset or assignment ID in the Campus Voices Platform, in both its "Version A" (as posted on the platform) and "Version B" (the clean file with no third-party music, no platform stickers or watermarks, at the highest available resolution).
2.2 "License Effective Date" for an Asset means the date on which both of these are true: (a) the Creator has been paid the Creator Fee for the Asset (by Campus Voices, or by the University under the University-Paid Option); and (b) the University has paid Campus Voices the invoice covering that Asset (under the default payment model, the invoice that includes the Creator Budget funding the Asset; under the University-Paid Option, the Management Fee invoice for the period in which the Asset was published). Only Approved Content that was posted, verified and paid is licensed. A cancellation or kill fee paid to a Creator for a cancelled draft, or for an approved video that was never posted or never verified, never creates a license.
2.3 "University Entity" means the legal entity that signed the MSA, including all of its internal, non-separately-incorporated units: colleges, schools, departments, offices, programs, centers, admissions, athletics (where the athletics department is part of the University Entity), student affairs, residence life, libraries and alumni relations offices that are part of the University Entity. [If the University Entity operates more than one campus, only the campuses named in the SOW are included.]
2.4 "Listed Affiliated Entity" means a separate legal entity connected with the University (for example a foundation, alumni association, separately incorporated athletics corporation, research foundation, hospital or health system, or a campus not named in the SOW) that is expressly listed by legal name in an SOW. An affiliated entity that is not listed has no rights under this license.
2.5 "Authorized Agency" means an advertising, marketing, social media or web agency, freelancer or vendor engaged by the University Entity or a Listed Affiliated Entity under a written agreement, acting solely on that entity's behalf and at its direction.
2.6 "University Owned Channels" means the following, in each case owned and controlled by the University Entity or a Listed Affiliated Entity:
- (a) social media accounts, pages and channels on TikTok, Instagram, Facebook, LinkedIn, YouTube (including Shorts), X, Threads, Snapchat and Pinterest, including departmental, college, school, admissions and athletics accounts;
- (b) websites and web pages, including subdomains and landing pages;
- (c) email newsletters and email communications sent by the entity;
- (d) digital signage and screens on the entity's campus or premises;
- (e) presentations at the entity's own events, including open days, orientation and admissions events, whether in person or streamed.
"Owned and controlled" means the entity (not a third party) holds the account or property and decides what is posted on it. An account run by an Authorized Agency in the entity's name is owned and controlled by the entity. An account of an individual employee, student, faculty member, club or third-party publisher is not.
2.7 "Paid Placement" means any placement for which money or other value is paid to a platform, publisher or third party to show, promote or distribute the Asset, including boosting or promoting a post, dark posts, Spark Ads, partnership ads, whitelisting or any creator-account access for advertising, paid search, programmatic or display advertising, sponsored content on third-party sites, TV, streaming or radio advertising, out-of-home advertising (billboards, transit) and print advertising.
2.8 "Permitted Edits" means: (a) cropping, resizing and reformatting for a channel's aspect ratio; (b) trimming and shortening, including cutting excerpts; (c) adding or editing subtitles, closed captions, transcripts and accompanying post captions; (d) adding University branding, logos, bumpers and end cards; (e) adding music the University has licensed for that use; (f) combining the Asset with other content the University is licensed to use; (g) translating subtitles or captions into other languages; and (h) technical adjustments such as color correction, audio level and compression. Every Permitted Edit is subject to Section 5.
2.9 "Prohibited Uses" means the uses listed in Section 6.
3. Grant
3.1 Grant. Effective on the License Effective Date for each Asset, the University Entity (and each Listed Affiliated Entity) receives a non-exclusive, worldwide, royalty-free, perpetual license to reproduce, display, perform, distribute, publish and make Permitted Edits to the Asset, and to use the Creator's name, image, voice, likeness and handle as they appear in the Asset, solely on University Owned Channels and solely for organic (unpaid) distribution.
3.2 Irrevocable once effective. Once the License Effective Date occurs, the license is irrevocable. Before then, no license exists (except the right to review drafts in the Platform).
3.3 Sublicensing. The University may sublicense the Asset only to Authorized Agencies, only to post or prepare the Asset for University Owned Channels, and only on terms at least as protective as this license. The University is responsible for its Authorized Agencies and Listed Affiliated Entities.
3.4 Non-exclusive. The Creator keeps ownership of the Asset and the right to use it on their own accounts and elsewhere. The only limit on the Creator, set in the Creator Agreement, is that a single post may not be sponsored by two institutions at once; Creators may otherwise work for anyone, including other schools, at any time.
3.5 Likeness limited to the Asset. The license covers the Creator's likeness only as it appears in the Asset. The University may not extract stills of the Creator for unrelated use, or use the Creator's name or likeness separately from the Asset, except to credit the Creator under Section 9 and in accompanying captions describing the Asset.
4. Files and music
4.1 Version B for reuse. Version B is the only file the University may upload to University Owned Channels or reuse off the platform the Creator posted on. The University must not download, screen-record or re-upload Version A.
4.2 Native sharing of the live post. The University may use a platform's own sharing features on the Creator's live post (for example reposting, sharing to Stories, Collab or co-author posts, stitch or duet where offered) while the post is live. Platform-licensed audio in Version A stays inside the platform under that platform's terms.
4.3 Added music. The University is responsible for having a license for any music it adds, including a license that covers the channel it uses.
5. Limits on edits
5.1 No edit may: (a) change the meaning of what the Creator said or showed; (b) put words in the Creator's mouth, including by re-ordering clips so the Creator appears to say something they did not say; (c) create a deepfake or synthetically alter the Creator's face, body or voice, including AI voice cloning, AI dubbing, lip-sync alteration or face replacement; (d) place the Asset next to political, religious or other sensitive material in a way that implies the Creator supports it; (e) remove or contradict facts in a way that makes the Asset misleading.
5.2 Subtitles and captions translated into other languages are allowed; synthetic dubbing of the Creator's voice is not.
6. Prohibited Uses
6.1 The following are outside the license:
- (a) Paid Placement of any kind, unless a signed Paid Media Rights Addendum (
07-paid-media-rights-addendum.md) covers that Asset, placement and period; - (b) sale, licensing or sublicensing of the Asset to any third party, other than to Authorized Agencies under Section 3.3;
- (c) use by an affiliated but separate legal entity that is not a Listed Affiliated Entity;
- (d) use on channels that are not University Owned Channels, including third-party publications, partner or sponsor channels, and personal accounts of staff or students (who may share a link to the University's own post);
- (e) use to train, fine-tune or evaluate artificial intelligence or machine-learning models, or to create synthetic media;
- (f) use implying the Creator endorses a product, service, cause, candidate or institution outside the content of the Asset;
- (g) merchandise, including printed products for sale;
- (h) any edit forbidden by Section 5.
7. Duration and survival
7.1 The license is perpetual. It survives: (a) the Creator deleting or archiving the original post; (b) the Creator leaving the Program; (c) the Creator graduating or ceasing to be enrolled; (d) expiry or termination of the Creator Agreement; and (e) expiry or termination of the MSA or any SOW, for any reason.
7.2 The license does not survive for an Asset whose License Effective Date never occurred.
8. Courtesy takedown
8.1 A Creator may ask the University (directly or through Campus Voices) to stop new uses of a specific Asset for serious personal safety reasons (for example stalking, harassment, threats or doxxing).
8.2 The University will use reasonable efforts to remove the Asset from active University Owned Channels within 10 Business Days and will not start new uses of it.
8.3 This is a good-faith courtesy commitment. It is not a revocation of the license, it does not require the University to recall printed or archived materials, and it creates no liability for the University for uses already made.
8.4 After the University has left its engagement with Campus Voices, a Creator may make the request to the University's primary contact or its communications office.
9. Credit
9.1 Whenever the University posts an Asset, it will include a credit that tells viewers the Creator was paid, for example "Paid student creator @handle" or "Created by @handle, a paid [University] student creator", and will tag the Creator where the platform allows. A bare "Created by @handle" is not enough. If the Creator asks not to be named, the University omits the handle but still states that the content was made by a paid student creator.
9.2 Failure to credit is not a breach that ends the license; the University will add credit when told of an omission, where the platform allows.
9.3 The University will not present an Asset as an unsponsored or spontaneous student testimonial.
10. Accuracy and corrections
10.1 If an Asset contains a factual error, the University may edit it (with a correcting caption or subtitle), stop using it, or ask Campus Voices under MSA Section 14.9 for a correction.
10.2 The University is responsible for keeping facts current on its own reposts after they become outdated.
11. No license to unapproved content
11.1 Drafts that were not approved, rejected content and content posted without approval are not Assets and receive no license. The Creator keeps all rights in them.
12. Reservation of rights
12.1 All rights not expressly granted are reserved to the Creator. Nothing in this license transfers ownership of any Asset or account.
13. Frequently asked questions
These answers explain the license. If an answer and the license text differ, the license text controls.
