Terms of Use
The rules for using the Campus Voices website and app.
Draft, awaiting attorney review
This document is a working draft published so you can see how Campus Voices works. It has not been reviewed by our attorney yet and may change. Items in [brackets] are still to be filled in.
Effective date: [date of publication]. Last updated: [date].
Summary. These terms apply to anyone who visits www.campusvoicesmedia.com or uses the Campus Voices platform. Accounts are by invitation only. If you are a creator, your Creator Agreement controls your work, pay and content licenses; if you work for a university, your university's Master Services Agreement controls. These terms only add rules for using the website and platform: keep your sign-in private, do not misuse the platform, respect other people's content and privacy, and understand that TikTok and Instagram are not ours. The platform is provided as is, our liability is limited, and Nevada law applies. Questions: hello@campusvoicesmedia.com.
1. Who we are and what these terms cover
1.1 These Terms of Use ("Terms") are an agreement between you and TTplus10 Inc., a Nevada corporation doing business as Campus Voices and Campus Voices Media ("Campus Voices", "we", "us").
1.2 They cover your use of www.campusvoicesmedia.com and any page, form, account area or tool we operate under it (together, the "Platform").
1.3 These Terms apply to:
(a) Visitors: anyone who browses the public site;
(b) Applicants: students who submit a creator application;
(c) Creators: enrolled students who have signed the Creator Agreement and have an account;
(d) University Users: staff of a university that has signed a Master Services Agreement with us, using an account to plan, review or report on their program;
(e) Pilot-call contacts: people who book a call through our scheduler.
1.4 By using the Platform you agree to these Terms. If you do not agree, do not use the Platform.
2. Other agreements come first
2.1 Creators. Your work for Campus Voices, including briefs, approval, disclosure, pay, live windows, removal, conduct and every license in your content, is governed by the Creator Agreement you signed. If these Terms conflict with the Creator Agreement, the Creator Agreement controls.
2.2 Universities. A university's use of the Platform, its program, fees and the licenses it receives are governed by its Master Services Agreement ("MSA"), any Statement of Work ("SOW") and the Data Processing and FERPA Addendum. University Users use the Platform on their university's behalf. If these Terms conflict with the MSA, the MSA controls.
2.3 Privacy. Our Privacy Policy at www.campusvoicesmedia.com/privacy explains how we handle personal information. It is part of these Terms.
2.4 These Terms do not grant, expand or reduce any license in creator content. Content licenses exist only in the Creator Agreement and the MSA.
3. Eligibility
3.1 You must be at least 18 years old to apply, to hold an account or to book a call.
3.2 Creators must also be currently enrolled at the participating university and meet the other eligibility rules in the application and the Creator Agreement.
3.3 University Users must be authorized by their university to use the Platform for it.
3.4 The Platform is offered only in the United States.
3.5 You may not use the Platform if we have previously removed you from it, unless we agree in writing.
4. Accounts and security
4.1 Invitation only. There is no public sign-up. Accounts are created when Campus Voices accepts a creator, or when Campus Voices or a university administrator invites a University User.
4.2 Your sign-in. You can sign in with a password or a one-time email link. You must:
(a) keep your password and sign-in links private, and not share your account with anyone;
(b) use a password of at least 12 characters that you do not use elsewhere;
(c) keep your email account secure, since anyone who controls it can request a sign-in link;
(d) sign out on shared devices;
(e) tell us promptly at hello@campusvoicesmedia.com if you think someone else has used your account.
4.3 You are responsible for activity under your account unless it results from our failure to protect the Platform.
4.4 Roles. Each account has a role for each program (for example creator, university administrator or university reviewer). You may use the Platform only as your role allows. A university administrator may invite and manage reviewers and creators for that university's program only.
4.5 Keep your account details accurate, including your email, name and (for creators) enrollment status.
5. Acceptable use
5.1 You will not:
(a) access any account, program or data you are not authorized to access, including another university's program;
(b) probe, scan or test the Platform's security, or try to get around access controls, rate limits or signed links, except under a written agreement with us;
(c) upload malware, or content designed to damage or overload the Platform;
(d) scrape, crawl or bulk-download the Platform, or use automated tools to submit forms;
(e) submit false information, including false enrollment, age, eligibility or identity information, false attestations when submitting a draft, or fabricated performance numbers or screenshots;
(f) upload content that you do not have the right to upload, that infringes someone's intellectual property, or that breaches the brief, the university's guidelines or the Creator Agreement;
(g) upload other people's private information, including student ID numbers, grades, health information, room numbers, or screens showing private data;
(h) upload content that intentionally features a minor, or that sexualizes, exploits or endangers anyone;
(i) harass, threaten or discriminate against another creator, Campus Voices staff or university staff;
(j) share briefs, unreleased university plans, other creators' information or anything marked confidential outside the Platform, except as the Creator Agreement or MSA allows;
(k) copy, sell, resell or build a competing service from the Platform or its data;
(l) use the Platform in a way that breaks the law, including advertising disclosure law, or that would make Campus Voices or a university break it.
5.2 We may remove content that breaks these rules and may suspend access while we look into a problem (Section 11).
6. Platform access and availability
6.1 We grant you a limited, personal, non-exclusive, non-transferable, revocable right to use the Platform for its intended purpose, under these Terms and any agreement that applies to you.
6.2 We work to keep the Platform available but do not promise it will always be available, uninterrupted or free of errors. We may perform maintenance, change features, or stop offering a feature. Any service commitments to a university are in its MSA and SOW, not in these Terms.
6.3 Links to files. Links to videos and screenshots on the Platform are private and expire. Do not share them outside the Platform.
6.4 Keep your own copies. Creators should keep their own copy of anything they upload. The Platform is not a backup service, and files are deleted on the schedule in the Privacy Policy.
7. Your content
7.1 "User Content" means anything you submit through the Platform: application answers, profile details, draft videos, captions, notes, review comments, post links, performance numbers, screenshots, pitches, university guidelines and plans, and similar material.
7.2 You keep ownership. You keep whatever rights you have in your User Content. Creators own their content and their social accounts.
7.3 Operating license. You grant Campus Voices a non-exclusive, royalty-free license to host, store, copy, transcode, display and transmit your User Content only as needed to (a) operate, secure and support the Platform, (b) show it to the people your role and the relevant agreement allow (for example, a draft to the reviewers of that university's program), (c) keep records as described in the Privacy Policy, and (d) comply with law. This license ends when the content is deleted from the Platform, except for copies we must keep for records or legal reasons, and backups until they roll off.
7.4 Nothing more. Section 7.3 does not permit Campus Voices or any university to publish, repost, advertise with or otherwise use creator content. Those rights, if any, come only from the Creator Agreement and the MSA, and apply only to Approved Content that was posted, verified and paid (and, for a university's license, only once the university has also paid the invoice covering it). Content that is rejected, never approved, or cancelled with a kill fee receives no license beyond Section 7.3.
7.5 Your promises. You promise that you have the rights needed to submit your User Content and grant the license in Section 7.3, and that it does not break Section 5.
8. Feedback
8.1 If you send us suggestions or ideas about the Platform ("Feedback"), we may use them without paying you or owing you anything, and without identifying you. Feedback does not include User Content, content ideas you pitch through the Platform (which remain governed by the Creator Agreement), or a university's confidential information.
9. Our intellectual property
9.1 The Platform, including its software, design, text, graphics and the Campus Voices names and logos, belongs to Campus Voices or its licensors and is protected by law. These Terms do not give you any rights in it except the right to use the Platform under Section 6.1.
9.2 University names, marks and logos belong to the universities. Campus Voices uses them only as each MSA permits. Where a site page shows a university logo, name or example, it does not mean that university endorses Campus Voices unless the page says so. Example or illustrative material on the site is labeled "Example" or "Illustration".
10. Third-party platforms and services
10.1 TikTok, Instagram and other platforms are not ours. Creators post from their own accounts under those platforms' terms, community guidelines and branded-content policies. We do not control those platforms, are not responsible for their availability, decisions or data practices, and do not have access to your accounts. Never give Campus Voices or a university your social media password. Any account access for paid media happens only through the platform's own tools under a signed Paid Media Rights Addendum.
10.2 Service providers. We use service providers to host the Platform, send email and run video calls (for example, Zoom for pilot calls). When you join a Zoom call, Zoom's terms and privacy policy apply.
10.3 Links to other websites are for convenience. We are not responsible for them.
11. Suspension and termination
11.1 You can stop at any time. Visitors can simply stop using the Platform. Creators can leave as the Creator Agreement describes. University Users' access ends as their university and the MSA decide.
11.2 We can suspend or end access to all or part of the Platform, with notice where practical, if:
(a) you break these Terms, the Creator Agreement or the MSA;
(b) we need to protect the security of the Platform or anyone's safety;
(c) your role ends (for example, a creator leaves the program, graduates, or is removed from the roster, or a university's program ends);
(d) the law requires it.
11.3 For creators, removal from a roster follows the steps in the Creator Agreement (warning, pause, removal), and immediate pause is used only where that agreement allows. Suspension of Platform access does not by itself cancel fees already earned under the Creator Agreement.
11.4 After termination, Sections 7.3 (for retained copies), 7.5, 8, 9, 12, 13, 14, 15 and 17 continue, together with any rights and duties the Creator Agreement or MSA says survive.
12. Disclaimers
12.1 THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, CAMPUS VOICES DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE.
12.2 Applying does not guarantee acceptance, and acceptance does not guarantee any number of briefs, posts or payments. Performance numbers shown on the Platform are as captured on a date from the source stated, and are not a promise of results. Nothing on the Platform is legal, tax or immigration advice.
12.3 Any warranties Campus Voices gives a university are only those in its MSA. Any promises Campus Voices makes to creators are only those in the Creator Agreement.
13. Limitation of liability
13.1 TO THE FULLEST EXTENT THE LAW ALLOWS, CAMPUS VOICES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM.
13.2 TO THE FULLEST EXTENT THE LAW ALLOWS, CAMPUS VOICES' TOTAL LIABILITY UNDER THESE TERMS FOR ALL CLAIMS IS LIMITED TO THE GREATER OF (a) $100 AND (b) THE AMOUNT YOU PAID CAMPUS VOICES TO USE THE PLATFORM IN THE 12 MONTHS BEFORE THE CLAIM.
13.3 This Section does not limit (a) liability that cannot be limited by law, including for gross negligence, fraud or intentional misconduct where the law does not allow a limit; (b) Campus Voices' obligation to pay creators fees earned under the Creator Agreement; or (c) any liability terms in the Creator Agreement or the MSA, which apply instead of this Section to claims under those agreements.
14. Indemnity
14.1 You will defend and indemnify Campus Voices, its officers, employees and contractors against third-party claims, and the resulting losses and reasonable costs, to the extent they arise from your misuse of the Platform in breach of Section 5, or your User Content infringing someone's rights.
14.2 For creators, this Section applies only to Platform misuse. Indemnities relating to creator content are governed exclusively by the Creator Agreement, including its cap at the fees received for the post (except for intentional misconduct). For University Users, indemnities are governed by the MSA; University Users are not personally liable under this Section for acts taken within the scope of their university duties.
14.3 We will tell you promptly of a claim, let you control the defense with counsel reasonably acceptable to us, and cooperate at your expense. You may not settle a claim that imposes obligations on us without our written consent.
15. Governing law, venue and disputes
15.1 These Terms are governed by the laws of the State of [Nevada], without regard to conflict-of-law rules, and by applicable U.S. federal law.
15.2 Talk first. Before filing a claim, the party with the dispute will send a written description to the other (for us: hello@campusvoicesmedia.com) and both will try in good faith to resolve it for 30 days.
15.3 Venue. Any claim not resolved will be brought in the state or federal courts located in [Clark County / Washoe County], Nevada, and each party consents to their jurisdiction. However, you may bring a claim in small claims court in the county where you live, if it qualifies.
15.4 Arbitration and class waiver. For creators, applicants and website visitors, any dispute with Campus Voices that is not resolved under Section 15.2 is decided by binding individual arbitration under the Federal Arbitration Act, on the same terms as Section 28 of the Creator Agreement (AAA administration, Campus Voices pays fees above a court filing fee, no class, collective or representative actions, small-claims and urgent-order carve-outs, agency complaints always allowed, and a 30-day opt-out by emailing hello@campusvoicesmedia.com with the subject "Arbitration opt-out"). Sections 15.3 (venue) applies only to claims that are not arbitrated. For creators who have accepted the Creator Agreement, Section 28 of that agreement controls. University Users are not bound by this Section 15.4; their disputes follow the MSA.
15.5 Disputes under the Creator Agreement or MSA follow the dispute terms in those agreements.
16. Changes to these terms
16.1 We may update these Terms. We will post the new version here with a new effective date. For material changes we will give account holders at least [30] days notice by email or in the Platform. Continuing to use the Platform after the effective date means you accept the new Terms. Changes do not apply to a dispute that arose before the change.
16.2 Changes to these Terms never change the Creator Agreement or an MSA. Those change only as they say.
17. General
17.1 Entire agreement. These Terms, the Privacy Policy and (where they apply to you) the Creator Agreement or MSA are the whole agreement about your use of the Platform.
17.2 Assignment. You may not transfer these Terms. We may transfer them as part of a merger, acquisition or sale of assets, or to an affiliate, with notice.
17.3 Severability. If a part of these Terms is unenforceable, the rest stays in effect and the part is enforced as far as the law allows.
17.4 No waiver. Not enforcing a term is not a waiver of it.
17.5 Notices. We may give you notice by email to your account address or in the Platform. You may give us notice at hello@campusvoicesmedia.com, with a copy to [registered address] for legal notices.
17.6 Force majeure. Neither party is liable for delays caused by events beyond its reasonable control, such as outages at hosting providers, natural disasters or government action.
18. Copyright complaints (DMCA)
18.1 We respect intellectual property rights. If you believe material on the Platform infringes your copyright, send a notice to our designated agent with:
(a) your physical or electronic signature;
(b) identification of the copyrighted work;
(c) identification of the material you claim infringes, with enough detail for us to find it (for example, a link);
(d) your name, address, phone number and email;
(e) a statement that you believe in good faith the use is not authorized by the copyright owner, its agent or the law;
(f) a statement that the information in your notice is accurate and, under penalty of perjury, that you are the owner or authorized to act for the owner.
18.2 Designated agent: [Name or title], TTplus10 Inc. (Campus Voices), [street address], [phone], dmca@campusvoicesmedia.com [create mailbox]. [Registration with the U.S. Copyright Office DMCA Designated Agent Directory pending.]
18.3 Counter-notice. If your material was removed and you believe it was a mistake or misidentification, you may send a counter-notice with the elements required by 17 U.S.C. 512(g)(3). We may restore the material in 10 to 14 business days unless the complainant tells us it has filed a court action.
18.4 Repeat infringers. We will end, in appropriate circumstances, the accounts of users who repeatedly infringe.
18.5 Content on social platforms. Posts on TikTok, Instagram and other platforms are hosted by those platforms. Complaints about a live post should also go to that platform's reporting tools. Campus Voices handles takedown notices about program content as the Creator Agreement describes and will coordinate removal with the creator and university.
